By accessing or using the Confanum platform, including our website at confanum.com, the admin dashboard, and the mobile application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Confanum provides a convention and event management platform that includes:

• A white-label mobile application for event attendees
• An admin dashboard for event organizers
• Tools for managing schedules, guests, vendors, volunteers, ticketing, and attendee engagement
• Related services such as push notifications, analytics, and real-time updates

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit viruses, malware, or other malicious code
• Use the Service to send unsolicited communications (spam)

You retain ownership of all content you upload or create through the Service ("Your Content"), including event data, schedules, guest information, images, and other materials. By uploading Your Content, you grant us a limited, non-exclusive license to host, display, and distribute it as necessary to provide the Service.

You are solely responsible for Your Content and represent that:

• You have the right to upload and use all content you provide
• Your Content does not infringe on any third party's intellectual property rights
• Your Content does not contain unlawful, harmful, or objectionable material

6. Intellectual Property

The Service, including its design, code, features, documentation, logos, and trademarks, is owned by Confanum and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described herein.

The white-label mobile application you create through the Service is branded with your identity, but the underlying platform technology remains the property of Confanum.

7. Payment and Billing

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Provide accurate and current billing information
• Authorize us to charge your payment method on a recurring basis (if applicable)

All fees are non-refundable except as expressly stated in these Terms or required by law. We reserve the right to change our pricing with reasonable notice.

8. Termination

You may cancel your account at any time by contacting us. We may suspend or terminate your access to the Service if:

• You breach these Terms
• Your account has been inactive for an extended period
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases immediately. We will make Your Content available for export for a reasonable period after termination upon request.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFANUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Confanum, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Florida.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Confanum regarding the Service and supersede any prior agreements or understandings.
